Three Hard Rules (The Most Valuable Part)
- Subscribed capital does not mean it is free from payment: Under the New Company Law, there are hard deadlines for capital contribution; setting the term too long may trigger accelerated payment.
- Control is not just about shareholding percentage: Voting rights delegation + unanimous action agreements + board seats + special charter provisions—this combination is true control.
- Do not copy charters from templates: Default templates generally do not consider your control arrangements; key clauses must be written in yourself.
How to Use
- Input: Current company status or proposed formation plan, shareholder structure requirements, original charter/contract text
- Output: Structure and control design proposal, clause amendment suggestions, risk checklist, step-by-step actions
